These terms govern your use of Replenly ("the app"), a Shopify app for replenishment planning, purchase orders, receiving, ingredients, and physical stocktakes. By installing or using the app, you agree to these terms. If you don't agree, please don't install or use the app.
Replenly reads your product, inventory, and order data to suggest when and how much to reorder, and helps you create and track purchase orders, receive inventory, manage ingredients, and perform physical stocktakes. It is provided "as is," on a best-effort basis, without warranties of any kind, express or implied.
Replenly is developed and operated by an independent developer, distributed through the Shopify App Store. Shopify is not the provider of this app. The developer — not Shopify — is solely responsible for the app, including its features, support, availability, and how it handles your data (see our Privacy Policy). Questions, support requests, and complaints about the app should be directed to the developer at the contact below, not to Shopify.
Reorder quantities and forecasts shown in the app are estimates, based on historical sales velocity. They are not guarantees of future demand. You are responsible for reviewing and verifying order quantities before sending a purchase order to a supplier. We are not responsible for overstock, stockouts, or any other business outcome resulting from decisions made using the app's suggestions.
You're responsible for the accuracy of the supplier and catalog data you enter, and for complying with any agreements you have with your own suppliers and customers.
Paid plans, billing, and cancellation are handled entirely through Shopify's billing system. Your subscription is billed and can be changed or cancelled from your Shopify admin; we don't process payments directly and have no access to your payment details.
How we handle your data is described in our Privacy Policy. In short: we process shop, catalog, supplier, purchase-order, and aggregate sales data solely to run the app's forecasting and purchase-order features, and we never collect your customers' personal information.
To the fullest extent permitted by law, our total liability to you arising out of or related to the app is limited to the amount you paid us in subscription fees over the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost inventory value.
You may stop using the app and uninstall it at any time from your Shopify admin. We may suspend or discontinue the app, with reasonable notice where practical, for example due to abuse, non-payment, or discontinuation of the service.
If these terms change, we'll update the date at the top of this page. Continued use of the app after a change means you accept the updated terms.
